Six major shopping mall will be integrated into XP Investimentos' real estate investment fund, XP Malls. A significant event disclosed at the end of February revealed that the fund is set to incorporate stakes ranging from 23% to 70% in developments in São Paulo, Rio de Janeiro, Goiânia, and Santo André.
The document reveals that a binding Memorandum of Understanding (MOU) has been signed with Syn Prop and Tech, formerly known as Cyrela Commercial Properties. The total transaction value is expected to be R$ 1.8 billion, divided into four installments.
Four assets are in the state of São Paulo, three in the capital: Shopping Cidade São Paulo, Tietê Plaza Shopping, and Shopping D, and one in Santo André, Grand Plaza Shopping. The other two are in the city of Rio de Janeiro and Goiânia, in the state of Goiás, namely Shopping Metropolitano Barra and Shopping Cerrado, respectively.

According to GROCS data, Tietê Plaza Shopping and Shopping D are a Class C mall, and the other are classified as B. According to XP's document, all assets will continue to be managed and marketed by Syn, and the company will retain a stake in the assets, except for the shopping mall in Goiânia.
MOU, short for Memorandum of Understanding, is an agreement between parties, without legal weight, aimed at establishing rights and obligations. This commitment signals the intention to proceed with a contract.
In the case of the sale of stakes in the six shopping centers, it was established that XP Malls will make a contribution of R$ 300 million after the signing of the MOU. The document also stipulated the payment of R$ 630 million upon the signing of the definitive documents.
The last two installments, of R$ 370 million and R$ 550 million, are expected to be paid in December 2024 and December 2025, respectively, after the signing of the purchase and sale commitments.
The XP Malls Fund holds investments in properties located across the country. Among the most renowned shopping centers are the Catarina Fashion Outlet in São Paulo and the Cidade Jardim Shops.
