FII HGLG11 Completes Purchase of GTIS Portfolio for R$1.37 Billion

On Thursday afternoon (26th), a significant real estate transaction was confirmed, involving the Real Estate Investment Fund CSHG Logística (HGLG11) and the portfolio of the GTIS Brazil Logistics (GTLG11) fund, as indicated by statements released by both funds.

In April of this year, REsource had already reported when Credit Suisse's FII made a purchase proposal for GTIS assets, involving over 337,000 square meters of gross leasable area (GLA). Now, the transaction has been confirmed at R$1.37 billion (around 29 million dollars), encompassing four warehouses located in the state of São Paulo and shares issued by CLERC Energia Empreendimentos S.A.

According to the statement, HGLG11 has already made an initial payment of R$578 million, with R$360 million of this amount being allocated to settling 50% of GTLG11's debt. The remaining balance, totaling over R$799 million, will be divided, with R$430 million going to GTIS Brazil Logistics and R$370 million being used to settle the seller's remaining debt.

Upon the settlement of the remaining balance and the execution of the definitive deeds for the acquisition of the properties, HGLG11 will be entitled to receive 100% of the rental income from the properties.

Here are the assets involved in the transaction:

Centro Logístico Embu - (CLE): A Class A property located in Embu, with 91,651 m² of GLA.

Distribution Center Barueri: With 90,484 m² of GLA, housing retail and transportation & logistics occupants.

Distribution Center Rodoanel: Located in Embu, with 77,587 m² of GLA, counting Petz among its tenants.

Distribution Center Cajamar: of which FII GTLG holds a 66.70% stake in a total area of 153,975 m², accommodating e-commerce, transportation & logistics, and other tenants.

Finally, the transaction includes all shares issued by CLERC Energia Empreendimentos S.A., a company engaged in the installation of industrial machinery and equipment.
